Terms & Conditions of Sale and Use

These General Terms and Conditions (the "Terms") govern the use of the FlexIPTV Smart TV application and the related licensing services provided by A. DEMS LTD. By installing the application, activating a license, or using flex-ip.tv, you accept these Terms in full.

1. Parties

These Terms are entered into between:
A. DEMS LTD, Stadiou 11, 2103 Aglantzia/Nicosia, Cyprus, VAT CY60137615U (the "Provider", "we", "us")
and
any natural or legal person installing or activating the {brand} application (the "User", "you").

2. Service description

{brand} is a media-player application for Smart TVs (Samsung Tizen, Android TV, LG webOS). It plays media streams from playlists (M3U or Xtream API) that you provide. The application contains no channels, no movies, no series and no media library. A. DEMS LTD does not provide, host, distribute, sell, or otherwise make available any audiovisual content. We are a player publisher only.

3. 7-day free trial

Each new device benefits from a 7-day free trial period during which the application is fully functional. The trial ends automatically; no payment is taken. The trial is the time you have to confirm that the application works correctly with your own playlist and TV before purchasing a license.

4. License

After the trial expires you may activate a paid license. Two plans are offered: Annual (12 months from activation) and Lifetime (perpetual, for the lifespan of the application). The license is non-transferable, non-exclusive and limited to the specific device ID it was purchased for. No reseller rights are granted.

5. Prices and payment

Prices are quoted in euros (EUR), inclusive of any applicable taxes. The price displayed at the moment of purchase is the price you pay. Payments are processed by MyPos (credit card) or PayPal. We never store full card details on our servers. We do not accept orders if your bank or payment provider declines the transaction.

6. Delivery

The license is delivered electronically and immediately after the payment provider confirms a successful capture. Confirmation is sent to the email address you supplied at order time.

7. Right of withdrawal — express waiver

Under EU consumer law (Directive 2011/83/EU and the Cypriot Consumer Protection Law of 2021), consumers normally have a 14-day right of withdrawal for distance contracts. However, this right does not apply to digital content delivered immediately after the consumer's express prior consent and acknowledgement that the right of withdrawal is thereby lost (Art. 16(m) of the Directive). By ticking the activation checkbox and clicking the pay button, you (a) explicitly request immediate execution of the contract during the withdrawal period, and (b) acknowledge that you thereby lose your right of withdrawal once the license is activated. The 7-day free trial means you have ample time before purchase to confirm the service works as advertised.

8. No refunds after activation

Following the express waiver above, once the license is activated no refunds will be issued. This applies regardless of whether the User's playlist works, whether the User's hardware is compatible, or whether the User changes their mind. Use the 7-day free trial to verify all of these before paying.

9. User obligations

You undertake to: (a) use the application only for lawful purposes; (b) provide only playlists you have the legal right to play (you are solely responsible for the legality of the streams you load); (c) not copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the application; (d) not resell the license; (e) not use the application to facilitate copyright infringement or any other illegal activity.

10. Intellectual property

The {brand} application, the {domain} website, the "{brand}" name, logo, and all related trademarks, copyrights, and intellectual property rights are and remain the exclusive property of A. DEMS LTD. The license granted under these Terms is a use license only, with no transfer of ownership.

11. Third-party content

The application plays media you supply from third-party sources. A. DEMS LTD has no control over, and accepts no responsibility for, the quality, legality, availability, or interruption of those sources. You are solely responsible for ensuring that you have the rights to access and play the streams you load.

12. Limitation of liability

To the maximum extent permitted by Cypriot law and the EU consumer protection rules, our liability is limited as follows:
  • We are not liable for indirect or consequential damages (lost data, lost profits, lost time).
  • Our aggregate liability for any direct damages is capped at the price you paid for the license over the 12 months preceding the event giving rise to the claim.
  • Nothing in these Terms limits our liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under mandatory law.

13. Termination

We may suspend or terminate your license without refund if you breach these Terms in a material way (notably: copyright infringement, abuse of the service, payment chargeback). You may stop using the application at any time.

14. Modifications

We may update these Terms occasionally. The "Last updated" date at the top reflects the most recent revision. Continued use of the application after publication of an update constitutes acceptance of the revised Terms. Active subscribers are notified by email for material changes.

15. Personal data

Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

16. Governing law and jurisdiction

These Terms are governed by the law of the Republic of Cyprus, without prejudice to any mandatory consumer-protection rules that apply in your country of residence within the EU. Disputes that cannot be resolved amicably are subject to the exclusive jurisdiction of the competent courts of Nicosia, Cyprus, again subject to the consumer's right to bring proceedings in their place of residence under EU law.

EU consumers may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
